Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you and Pleisys ("Pleisys", "we", "our") governing your access to and use of Pleisys Engage (the "Service"). By creating an account, clicking "I agree", or otherwise accessing the Service, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation. If you do not agree, do not use the Service.
2. Account Registration
You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@pleisys.com if you suspect unauthorised access.
You must be at least 18 years old and have the legal capacity to enter into a contract in your jurisdiction to use the Service.
3. Acceptable Use
You agree to use Pleisys Engage only for lawful purposes. You must not:
- Send unsolicited bulk messages, spam, or messages to contacts who have not opted in to receive communications from you.
- Use the Service to send content that is illegal, fraudulent, defamatory, harassing, or that violates any third-party rights.
- Violate Meta's WhatsApp Business Policy, any telecom regulations, or applicable data protection law (including GDPR and DPDP).
- Attempt to circumvent usage limits, plan restrictions, or rate limits.
- Reverse-engineer, decompile, or extract the source code of the Service.
- Upload contact lists obtained through scraping, purchased data brokers, or any means that does not represent genuine opt-in consent.
- Use the Service to transmit malware, phishing content, or any harmful code.
We reserve the right to suspend or terminate accounts that violate these provisions, with or without notice, at our sole discretion.
4. Subscription Plans & Billing
4.1 Plans
The Service is offered on a subscription basis (Trial, Starter, Growth, Business, Enterprise). Plan features and limits are described on the pricing page and within the Service. Trial accounts have full Growth-plan access for 14 days with no credit card required.
4.2 Payment
Paid subscriptions are billed monthly or annually in advance. INR payments are processed via Razorpay; USD payments via Stripe. All amounts are exclusive of applicable taxes, which will be added where required by law. Failure to pay will result in account suspension after a 7-day grace period.
4.3 Wallet & Credits
Some usage (e.g., WhatsApp conversation credits, SMS sends) is charged against a prepaid wallet balance. Wallet credits are non-refundable unless required by law and expire 12 months after purchase.
4.4 Refunds
Subscription fees are non-refundable except where required by applicable consumer law. If you believe you have been charged in error, contact us within 30 days of the charge.
5. Your Data & Content
You retain all rights to the data and content you upload or create on the Service ("Your Content"). By using the Service, you grant Pleisys a limited, non-exclusive licence to host, process, and transmit Your Content solely to provide the Service to you.
You represent and warrant that you have all necessary rights and consents from your end-user contacts to send them messages via Pleisys Engage, and that doing so complies with all applicable laws (including the Digital Personal Data Protection Act 2023, GDPR, CAN-SPAM, and applicable telecom regulations).
6. WhatsApp & Third-Party Channels
Use of the WhatsApp channel is subject to Meta's WhatsApp Business Policy and Commerce Policy. You are solely responsible for ensuring your WhatsApp usage complies with Meta's policies. Violations may result in your WhatsApp Business Account being restricted or banned by Meta, for which Pleisys bears no liability.
SMS delivery is subject to DLT registration requirements under TRAI regulations in India. You are responsible for registering your sender headers and templates with the relevant telecom operators.
7. Intellectual Property
The Service, including its software, design, trademarks, and documentation, is owned by Pleisys and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service. "Pleisys" and "Pleisys Engage" are trademarks of Pleisys; you may not use them without our prior written consent.
8. Availability & Service Level
We aim to maintain 99.5% monthly uptime for the core platform (excluding scheduled maintenance and events outside our control). The Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation and are not liable for delays or failures caused by third-party services (Meta, AWS, Razorpay, Stripe, etc.).
9. Limitation of Liability
To the maximum extent permitted by applicable law, Pleisys and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business, arising from your use of or inability to use the Service, even if advised of the possibility of such damages.
Our total aggregate liability for direct damages arising under or related to these Terms shall not exceed the amount you paid to Pleisys in the three months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Pleisys and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of any third-party rights.
11. Termination
You may cancel your account at any time from the billing settings within the platform. We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or engage in conduct that we reasonably believe poses a risk to us, other users, or third parties.
Upon termination, your right to access the Service ceases immediately. We will retain your data for 90 days after termination (unless a shorter period is legally required), after which it will be permanently deleted. You may export your data before termination via the platform export features.
12. Modifications to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service before the effective date.
13. Governing Law & Disputes
These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India. Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@pleisys.com.
